Benjamin Wohlford counsels individuals, closely held family businesses, startups, and established private companies with various complex tax issues.

He drafts and negotiates transaction documents in connection with taxable and nontaxable M&A transactions, including asset sales, stock purchases, mergers, and spinoffs. He also provides transaction structuring advice and opinion letters regarding tax-free reorganizations, elections under IRC § 338(h)(10) and 336(e), and tax-deferred transactions involving real property. He also advises international clients on cross-border tax issues and foreign information return compliance.

Benjamin advises on the tax aspects of entity formation, capitalization, executive compensation, and dissolution, including choice-of-entity analysis, capital structure, and drafting tax-sensitive documents such as operating agreements, partnership agreements, and equity incentive plans.

He also represents taxpayers in audits, appeals, and tax controversy matters with the IRS, the Franchise Tax Board, the California Department of Tax and Fee Administration, and the Employment Development Department, including litigation before the U.S. Tax Court.

Prior to joining Coblentz, Benjamin was a tax associate with Berliner Cohen in San Jose.

Benjamin earned his J.D. from Santa Clara University School of Law in 2019. He received his B.A. from New York University in 2011.

Represented a Silicon Valley technology company with over 20 subsidiaries in connection with its $250 million acquisition by a public company.*
Advised affiliate construction companies with the $88 million financed purchase of all the issued and outstanding securities of each acquired entity by a publicly traded company.*
Completed a tax-free reorganization under IRC § 368(a)(1)(F) and subsequent $60 million sale of membership interests to a private equity firm.*
Represented a California-based healthcare company with its $20 million acquisition, and advised on tax issues under IRC § 280G.
Represented a California-based IT company with its $300 million stock sale to a public company.*
Completed a reorganization of a California beer company utilizing a reverse triangular merger structure.*
Obtained a Private Letter Ruling from the IRS granting an extension of time to make a regulatory election under IRC § 336(e) following the target shareholder’s failure to submit the required election statement.*
