Mr. Tauber brings his corporate, technology and venture capital clients wide-ranging transactional experience in the areas of financing, intellectual property licensing, joint ventures and mergers and acquisitions.

Mr. Tauber represents businesses of all sizes from start-ups to publicly-held multinational enterprises and from family-held businesses to tax-exempt organizations. He also has extensive experience structuring, negotiating and documenting international business transactions, particularly those involving foreign businesses and individuals establishing, expanding, investing in, or partnering with businesses in the United States.

Mr. Tauber splits his time between the firm's San Francisco and Palo Alto offices.

Venture Capital and Corporate Finance

Mr. Tauber has extensive experience in venture capital and private equity transactions, primarily in the biotechnology and medical device, food and beverage, telecommunications and semiconductor industries. He represents both venture capital firms as well as venture-backed enterprises in all stages of their development. In addition, Mr. Tauber advises in a range of other financing transactions including secured and unsecured lines of credit and credit facilities.

Technology and Intellectual Property

Mr. Tauber counsels clients with respect to a broad range of intellectual property transactions including development, licensing, acquisition and sale of intellectual property and technology; joint ventures and strategic alliances; material transfer agreements; branding arrangements; application service provider and license agreements; and distribution, commercialization and support agreements. These transactions generally involve the life sciences, medical devices, semiconductors, food and beverage, software, diagnostics, digital technologies, telecommunications equipment, or entertainment industries.

General Business and Corporate Representation

Mr. Tauber's transaction practice includes regularly representing businesses in merger and acquisition transactions, joint ventures and strategic alliances, including cross-border joint ventures. His expertise also includes general contractual matters including negotiating and drafting supply, reseller and professional services agreements, and negotiated resolutions of business disputes.

Education

Mr. Tauber earned his undergraduate degree in Economics and Government from Cornell University in 1990, a Master's degree in Public Policy from Harvard University's John F. Kennedy School of Government in 1992, and his law degree from the University of Michigan in 1995. At Michigan, he served as an Associate Editor and as a Contributing Editor of the University of Michigan Journal of International Law, and co-authored an article on liberalizing international trade in legal services.

Professional Activities

Mr. Tauber is a member of the American Bar Association, California Bar Association and the Bar Association of San Francisco. He also is admitted to the bar of the United States Supreme Court and the United States Court of International Trade. Mr. Tauber serves on the board of directors of Force of Nature Foundation, a foundation dedicated to supporting long-term relief from natural disasters, particularly the December 2004 Indian Ocean tsunami. He also serves on the advisory board of several start-up companies.
